startupticker.ch reports on the new service offering from Lex Futura and Konsento called SeedFast, which supports startups in conducting pre-seed and seed financing rounds. This offering aims to make legal advisory costs more predictable by offering a fixed price depending on the target of the funding round.
SeedFast combines Lex Futura's legal expertise with Konsento's digital capital management solutions. The package covers all steps from the term sheet negotiation to the closing of the financing round and offers comprehensive legal support as well as assistance with the preparation of the cap table and the consideration of tax aspects.
By using legal tech tools such as Legality, Lex Futura can draft contracts more efficiently, which, combined with its experience, enables the costs of the financing round to be transparent and predictable. The aim is not to make the most favorable offer, but to offer clients cost certainty, as both parties know from the outset how much the round will cost.
schweizeraktien.net, the independent network for companies and investors focussing on Swiss stock corporations, has published an article examining which companies have held virtual general meetings to date. They also draw on the experience of Konsento, whose LegalTech platform was used to hold over 50 AGMs by electronic means in the first 6 months of 2023 alone. In this article, Konsento shares its experience on the relationship between hybrid and purely virtual general meetings and explains that purely virtual general meetings are particularly suitable for companies with a large number of shareholders as well as companies with fewer but geographically diverse shareholders.
startupticker.ch dedicates an article to Konsento's progress at the beginning of July 2023. It states that the Swiss startup Konsento has gained over 150 customers with a total of 8,000 shareholders in one and a half years since the launch of its collaborative investor relations platform. The article also describes how the platform enables digital collaboration between board members, shareholders and notaries, including virtual general meetings. The article also mentions that general meetings of wemakeit with over 5,300 shareholders and the listed company Swiss Estates were successfully held via the Konsento platform, as well as our plans for a larger financing round to fund future growth.
The listed company Swiss Estates AG informs in an ad hoc announcement that it was one of the first listed companies to hold a virtual Annual General Meeting on Friday 16 June 2023 and that it relied on the Konsento platform for the preparation and execution of the meeting. Shareholders were able to log into the Konsento AG portal, which was used to organise the virtual Annual General Meeting, at the time of the Annual General Meeting using individual access data, submit votes, take part in the discussion, submit motions and, of course, vote. The tool also recorded the voting results and transferred them to the minutes of the Annual General Meeting. Shareholders were also able to use this software to instruct the independent proxy and vote in advance. Shareholders could also (optionally) join in visually at the appropriate time.
The news portal startwerk summarises the corporate housekeeping duties of founders and refers in this context to the web-based all-in-one platform from Konsento for the simple and legally compliant fulfillment of corporate housekeeping tasks.
