The register of beneficial owners is a register that non-listed stock corporations must keep (Art. 697l CO). It contains the first name, surname and address of the beneficial owners of the company's shares. The shareholder is responsible for notifying the beneficial owner (Art. 697j CO). Within the company limited by shares, the Board of Directors is responsible for ensuring that the list is correct, complete and up to date. It is also responsible for ensuring that shareholders who have not complied with the reporting obligation cannot exercise their rights (Art. 697m CO). It must be possible to access the directory at any time in Switzerland (Art. 697l CO).
